Special Board Matter: shall have the meaning set forth in Article 10 [3] below
;The meeting quorum of the Board when a Special Board Matter is to be is the attendance of all Board members.
[2] Save for the adoption of a Special Board Matter, all resolutions of the Board shall be valid if adopted by a majority of the members of the Board present at the meeting, whereas such majority affirmative vote shall always require the vote of at least one of the Directors nominated by NED and one of the Directors nominated by AEP.
